After the great success of our first Meetup in June,we are organizing a new session to show:

– how to valuate seed or post-series A startups for capital raising 

– how to demystify the liquidation preference of a term sheet and negotiate a better deal for founders and early stage investors

– how to avoid the gap between expectations and reality at any future exit, primary or secondary sale of shares or grant of stock options 

We are going to address 2 major concerns for both founders and investors:

  1. a) What should be a reasonable and fair value of your startup during a new round of capital raising
  2. b) Why relying only on a cap table can be a costly mistake when determining the impact of a new round of financing or the grant of stock options

On the one hand, it seems natural to look at one’s holding of a startup as a simple % of the “cake”. On the other hand, as participants will see, even a sexy-looking term sheet contains pitfalls and hidden complexities which can and must be identified and understood in order to answer the question “What’s my real money stake of the cake if I sign this Term Sheet as is?”.
